Terms of Service

1. Acceptance of Terms

By creating an account, signing in, or otherwise using Amy (“Amy”, the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use Amy. If you are using Amy on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Amy is operated by Shawn Hanson (operating as “Amy EA LLC”, a Delaware limited liability company). “We”, “us”, and “our” refer to the operator. “You” and “your” refer to the user.

2. Description of Service

Amy is an AI-powered personal executive assistant. With your explicit permission, Amy connects to your Google account to:

  • Read your Gmail and Calendar
  • Assemble a morning brief summarizing your day
  • Triage and prioritize incoming messages
  • Draft replies for you to review and send
  • Accept short voice notes for quick capture

Amy is a personal productivity tool and is nota replacement for professional legal, medical, financial, or tax advice. Amy's AI outputs may contain errors — you are responsible for reviewing any draft before sending it.

3. Eligibility and Accounts

  • You must be at least 18 years old to use Amy.
  • You must provide accurate and complete registration information and keep it up to date.
  • You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
  • Amy is for personal, non-commercial use unless we agree otherwise in writing.

4. Your Content

You own your content. Your Gmail messages, Calendar events, voice notes, and any other personal data that flows through Amy remain yours. We do not claim ownership of your content.

To provide the Service, you grant Amy a limited, non-exclusive, revocable license to access, process, summarize, and display your content solely for the purpose of delivering the features you have asked for. This license ends when you delete your account or revoke Amy's access.

Your content is handled in accordance with our Privacy Policy, which you should read alongside these Terms.

5. Acceptable Use

You agree not to:

  • Use Amy for any illegal purpose or in violation of any applicable law.
  • Use Amy to send spam, phishing, or other abusive messages.
  • Attempt to access data belonging to other Amy users.
  • Reverse-engineer, decompile, or otherwise try to extract Amy's source code or training data.
  • Interfere with or disrupt Amy's infrastructure, or attempt to bypass rate limits or security controls.
  • Use Amy to generate content that is defamatory, harassing, infringing, or otherwise unlawful.
  • Impersonate any person or entity, or misrepresent your affiliation.

We reserve the right to suspend or terminate accounts that violate these rules.

6. Intellectual Property

  • Amy's software, brand, name, logo, user interface, and documentation are owned by Shawn Hanson and/or his licensors, and are protected by copyright, trademark, and other intellectual property laws.
  • Except for the license you grant us in Section 4, these Terms do not grant you any rights to Amy's intellectual property.
  • You may not use the “Amy” name or logo without our prior written permission.

7. Third-Party Services

Amy integrates with Google, Anthropic, OpenAI, Deepgram, Supabase, Vercel, Clerk, AWS, and Firebase Cloud Messaging. Your use of those services through Amy is also subject to their respective terms and privacy policies. Amy is not responsible for the acts or omissions of third-party services.

8. Disclaimer of Warranties

Amy is provided “as is” and “as available”, without warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that Amy will be error-free, secure, or always available, or that AI-generated outputs will be accurate or free of bias. You use Amy at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Amy, Shawn Hanson, or any contributor be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) Amy, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or Amy will not exceed the greater of (a) the total fees you have paid us in the 12 months before the claim arose or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Amy and Shawn Hanson from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of Amy, (b) your violation of these Terms, or (c) your violation of any third-party rights.

11. Termination

  • By you— You may delete your Amy account at any time through the Amy app. Deletion revokes our access to your Google account and removes your data in accordance with our Privacy Policy.
  • By us— We may suspend or terminate your access to Amy at any time, with or without notice, if you violate these Terms, if required by law, or if we decide to discontinue the Service.
  • Effect of termination— Sections 4 (as to existing rights), 6, 8, 9, 10, 13.5, and 14 survive termination.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the change takes effect. Your continued use of Amy after the effective date means you accept the updated Terms.

13. Subscriptions, Billing, and Payments

13.1 Subscription

Amy is offered as a paid monthly subscription at $39.95 per month. There is no free trial. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

13.2 Payment Processing

All payments are processed by Stripe. Amy does not store your credit card number or payment credentials directly. When you subscribe, you provide your card details to Stripe during onboarding. Your first charge occurs immediately upon subscribing, and subsequent charges recur on the same day each month.

By providing your payment information, you represent that you are authorized to use the payment method and that the information is accurate and complete.

13.3 Failed Payments and Grace Period

If a recurring charge fails (e.g., expired card, insufficient funds), we will attempt to notify you and Stripe may retry the charge according to its retry schedule. You have a 7-day grace period from the date of the first failed charge to update your payment method. If payment is not resolved within the grace period, your account will be suspended(hard lock) — the app becomes read-only and you will not be able to send messages, generate briefs, or use other active features until payment is restored.

13.4 Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal, accessible from within the Amy app. Upon cancellation, you retain access to Amy through the end of your current billing period. No further charges will be made after cancellation. Cancellation does not delete your account or data — see Section 11 (Termination) for account deletion.

13.5 Refunds

All subscription fees are non-refundable. We do not issue prorated refunds for partial months or unused time after cancellation. In exceptional circumstances, refunds may be considered on a case-by-case basis at our sole discretion and processed manually through the Stripe dashboard. 13.6 Price Changes

We may change subscription pricing from time to time. If we increase the price, we will notify you by email at least 30 days before the new price takes effect. Your continued subscription after the price change effective date constitutes acceptance of the new price. If you do not agree with a price change, you may cancel before it takes effect.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or Amy will be resolved in the state or federal courts located in Delaware, USA, and you consent to the personal jurisdiction of those courts.

15. Miscellaneous

  • Entire agreement— These Terms and our Privacy Policy are the entire agreement between you and Amy regarding the Service.
  • Severability— If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect.
  • No waiver— Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment— You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
